By accessing or using the RVR Pay LLC (“RVR Pay,” “we,” “us,” or “our”) website and services, including the Rotate, Decline AI, and Report products, and any associated WooCommerce plugin (collectively, the “Services”), you (“you” or “Client”) agree to be bound by these Terms and Conditions (“Terms”). If you do not agree to these Terms, you may not access or use the Services.
2. Description of Services
RVR Pay provides a suite of software solutions designed to assist high-risk merchants with payment processing optimization. These solutions include:
Rotate: Automates the rotation of multiple merchant accounts to balance transaction volume and reduce the risk of account scrutiny.
Decline AI: Analyzes declined transactions and attempts to re-route them to alternative merchant accounts for approval.
Report: Provides a consolidated dashboard for viewing and analyzing payment processing data across multiple merchant accounts.
WooCommerce Plugin: An integration that allows merchants using the WooCommerce platform to connect to and utilize RVR Pay's services.
3. User Accounts
To access certain features of the Services, you may be required to create a user account. You agree to:
Provide accurate and complete information during the registration process.
Maintain the confidentiality of your account credentials.
Be responsible for all activities that occur under your account.
Notify RVR Pay immediately of any unauthorized use of your account.
4. Fees and Payment
You agree to pay all fees associated with your use of the Services, as described in the applicable service agreement or on the RVR Pay website. Fees may include transaction fees, processing fees, success fees, and other charges. RVR Pay reserves the right to change its fees at any time upon notice to you. If any payment is not received within seven (7) business days of the due date, RVR Pay shall have the right to immediately suspend your access to the Service without notice. In addition, RVR Pay shall have the right to place a lien on your accounts receivables and payables to secure payment of any outstanding fees. You shall be responsible for all costs and expenses, including reasonable attorneys' fees, incurred by RVR Pay in collecting any late payments.
5. Intellectual Property
RVR Pay retains all right, title, and interest in and to the Services, including all software, algorithms, documentation, trademarks, and other intellectual property related thereto. You are granted a non-exclusive, non-transferable license to access and use the Services solely for your internal business purposes as outlined in your service agreement.
6. Data Collection and Usage
By using the Services, you acknowledge and agree that RVR Pay may collect any and all data available through integrations, connections, or other means. This includes, but is not limited to, data related to your transactions, sales, merchant accounts, payment processors, and website activity. RVR Pay uses this data to provide and improve the Services, conduct research and analysis, develop new products, and for marketing purposes. We do not sell your data to third parties. We may share your data with third-party service providers who assist us in providing the Services, but only to those you specifically opt-in for their services.
7. WooCommerce Plugin
The RVR Pay WooCommerce plugin collects data related to your transactions, sales, merchant accounts, fees, and payment processors. This data is used to provide and improve the Services, including but not limited to, optimizing the Rotate algorithm, enhancing the Decline AI recovery rates, and generating reports.
8. Disclaimer of Warranties
RVR PAY PROVIDES THE SERVICES “AS IS” AND WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. RVR PAY DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL DECLINED TRANSACTIONS WILL BE RECOVERED. RVR PAY IS NOT RESPONSIBLE FOR ANY ACTIONS TAKEN BY PAYMENT PROCESSORS OR FOR ANY ISSUES ARISING FROM YOUR USE OF THE WOOCOMMERCE PLATFORM.
9. Limitation of Liability
IN NO EVENT SHALL RVR PAY BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICES, EVEN IF RVR PAY HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. RVR PAY’S TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT OF FEES PAID BY YOU TO RVR PAY DURING THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY. RVR PAY SHALL NOT BE LIABLE FOR ANY LOSS, DISCLOSURE, OR COMPROMISE OF CLIENT'S DATA, INCLUDING BUT NOT LIMITED TO BANKING INFORMATION, DUE TO CYBERSECURITY BREACHES, HACKING, VIRUSES, OR ANY OTHER UNAUTHORIZED ACCESS TO CLIENT'S SYSTEMS OR DATA. CLIENT IS SOLELY RESPONSIBLE FOR MAINTAINING APPROPRIATE SECURITY MEASURES TO PROTECT ITS DATA AND SYSTEMS. RVR PAY MAKES NO REPRESENTATIONS OR WARRANTIES REGARDING THE SECURITY OF CLIENT'S DATA AND DISCLAIMS ALL LIABILITY FOR ANY DATA BREACHES OR SECURITY INCIDENTS.
10. Indemnification
You agree to indemnify and hold harmless RVR Pay, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your breach of these Terms, or your violation of any applicable law or regulation.
11. Termination
RVR Pay may terminate your access to the Services at any time for any reason, including, but not limited to, your breach of these Terms. Upon termination, you must cease all use of the Services.
12. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Wyoming, without regard to its conflict of laws principles.
13. Dispute Resolution
Any dispute arising out of or relating to these Terms or the Services shall first be submitted to non-binding mediation before a mediator of RVR Pay's choice in Sheridan County, Wyoming. If the dispute is not resolved through mediation, it shall be resolved exclusively in the state or federal courts located in Sheridan County, Wyoming.
14. Changes to Terms
RVR Pay reserves the right to modify these Terms at any time. We will post the updated Terms on our website and notify you of any material changes. Your continued use of the Services after the posting of the revised Terms constitutes your acceptance of the changes.
